Use of Funds

WHERE THE
MONEY GOES.

Every dollar is accounted for. The $150,000 investor bridge is applied directly to the operations and logistics budget — the largest single cost line and the engine that makes the entire activation run.

Key Structural Mechanism
The DoorDash Promissory Note

Our operations and logistics vendor has agreed to accept the DoorDash $200,000 post-event receivable as a promissory note against their $350,000 deposit requirement. This means the single largest cash obligation — $350,000 — is converted from a cash-now requirement into a signed future payment. The vendor proceeds. The activation launches. DoorDash pays. The note is settled. This is what makes the $150,000 ask sufficient to get us to the start line.

Repayment Waterfall
Priority 1
First $180,000 of VIP ticket revenue is reserved exclusively for investor repayment. Tickets begin selling immediately — repayment builds as revenue is collected.
Priority 2
DoorDash $200,000 post-event receivable serves as full backstop guarantee. A signed commitment from a Fortune 500 company — not a projection. Delivered on event close.
Priority 3
CMV Worldwide personal guarantee — full repayment on or before July 31, 2026, regardless of ticket volume. You are not depending on sellout.
Additional Revenue Stream

MERCHANT
REVENUE SHARE.

90+ merchants pay a tiered daily revenue share on all gross sales. This stream runs independently of VIP ticket revenue and represents the structural income engine of the activation model.

First Tier
30%
On first $10,000 gross sales per merchant per selling day
Retained by the activation to fund shared infrastructure — carts, electrical, staffing, marketing, security, and insurance.
Above $10K / Day
15%
On every dollar above $10,000 per merchant per selling day
A reduced rate that rewards high-performing merchants — more margin stays with the merchant as their sales grow. Incentivizes volume.
Industry Standard
40%
Flat rate charged by comparable event activations nationally
Our tiered structure is materially more favorable — which drives merchant loyalty, repeat participation, and long-term platform viability.
Assumption Value Note
Active merchants across all zones 90 Confirmed and onboarded
Average gross sales / merchant / selling day $3,000 Conservative — well below $10K tier
Total daily gross sales (all merchants) $270,000 90 merchants × $3,000
Daily revenue share retained (30%) $81,000 Activation-level gross share
16-day total gross revenue share $1,296,000 Full tournament window
CMV Worldwide net share (5% of merchant gross) $216,000 After venue (15%) and partner (10%) splits
Projection uses a deliberately conservative $3,000/merchant/day assumption. At $5,000/day — still below the $10K tier threshold — the 16-day gross share exceeds $2.1M, with CMV Worldwide net approaching $360,000. This revenue stream operates structurally independent of VIP ticket performance and continues regardless of sellout.

Risk Profile

WHY THIS
IS DE-RISKED.

Every standard investment risk has a direct structural answer here. This is not a hope-and-pray structure — it's a backstopped, time-bound bridge.

DoorDash Backstop
A signed $200,000 commitment from a Fortune 500 company exists as a post-event receivable. Your repayment does not depend on ticket sales alone — the backstop holds even in a partial sellout scenario.
Already Operational
90+ merchants are confirmed. Carts are fabricated. Venues are secured. This is not a pitch for a concept — it's bridge capital for something already built and running toward its launch date.
City of Atlanta Partnership
This is the official activation — not a grassroots event competing for attention. It carries institutional backing from the City of Atlanta, Showcase Atlanta, and the FIFA World Cup 2026 host city framework.
Defined Clean Exit
This is a 60-day bridge — not open-ended equity. You are in before June 14. You are out by July 31. Clean repayment. No board seats. No ongoing obligations. No ambiguity.
Operator Track Record
CMV Worldwide's principals bring supply chain, retail operations, consumer marketing, and experience design expertise to every execution decision — this is not a first-time production team.
Annualized Return
A 20% return in 60 days is exceptional by any standard. Annualized, that exceeds 120%. The brevity of the hold period is a feature, not a limitation — capital returned and redeployable before the summer is over.
